These Terms of Use ("Terms") govern your access to and use of the website at https://www.loobitup.com and any related online stores, content, and services (collectively, the "Services"), operated by Loob It Up Inc. ("we," "us," "our," or “Mouth Loob”). Please read them carefully.

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase products or create an account. By using the Services, you represent that you meet this requirement and that the information you provide is accurate and current.

2. Accounts

If we offer accounts, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at ryan@loobitup.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Products, Pricing, and Availability

We strive to describe and price our products accurately, but we do not warrant that product descriptions, pricing, or other content is error-free. We may correct errors, change prices, and modify or discontinue products at any time without notice. We may also limit quantities or refuse or cancel any order, including after an order has been placed.

4. Orders and Payment

By placing an order, you make an offer to purchase that we may accept or decline. Prices are in US Dollars and exclude taxes and shipping unless stated otherwise. You authorize us and our payment processor to charge your selected payment method for the total amount of your order. Applicable taxes are calculated at checkout based on your shipping destination.

5. Shipping, Returns, and Refunds

Shipping times are estimates and not guarantees. Title and risk of loss pass to you upon our delivery to the carrier. Our Shipping Policy and Return & Refund Policy are incorporated into these Terms by reference, if applicable.

6. Health and Product Disclaimer (Oral Care)

Our products are intended for general oral-care and personal-use purposes. They are not intended to diagnose, treat, cure, or prevent any disease or medical or dental condition. Information on the Services is provided for general informational purposes only and is not medical, dental, or professional advice. Always read product labels and directions, and consult your dentist or physician before use if you have a medical or dental condition, are pregnant or nursing, or have known allergies or sensitivities. Discontinue use and seek professional advice if you experience an adverse reaction.

7. Intellectual Property

The Services and all content, including text, graphics, logos, images, product designs, and the “Loob,” and “Mouth Loob” name and marks, are owned by or licensed to us and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent.

8. User Content

If you submit reviews, comments, photos, or other content ("User Content"), you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, display, and distribute it in connection with the Services and our marketing. You represent that you own or have the rights to your User Content and that it does not violate any law or third-party right. We may remove User Content at our discretion.

9. Prohibited Conduct

You agree not to:

Violate any law or these Terms;
Use the Services fraudulently or for any unauthorized commercial purpose;
Interfere with or disrupt the Services or their security;
Attempt to gain unauthorized access to any system or data;
Scrape, harvest, or use bots to collect data; or
Post content that is unlawful, infringing, defamatory, harassing, or otherwise objectionable.

The Services may contain links to third-party sites and services we do not control. We are not responsible for their content, products, or practices, and your use of them is at your own risk.

11. Disclaimers

THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOBITUP AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM OR USD $50.

13. Indemnification

You agree to indemnify and hold harmless Mouth Loob and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms or any law.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Sections that by their nature should survive termination (including Sections 7, 8, 11–13, and 16) will survive.

15. Changes to These Terms

We may update these Terms from time to time. We will revise the "Effective Date" above and, for material changes, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved by binding arbitration on an individual basis, and you and Mouth Loob waive the right to a jury trial and to participate in a class action. Subject to any agreed arbitration provision, the state and federal courts located in Santa Barbara County, California will have exclusive jurisdiction.

17. Miscellaneous

These Terms, together with our Privacy Policy and any policies referenced here, are the entire agreement between you and LooBitUp regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them freely.
